The Accelerated Information Systems Support Team provides customers with the opportunity to request technical assistance and expertise to help identify and resolve software problems (“Services”). You have requested the assistance of an Accelerated Information Systems engineer to provide you with technical support through a remote connection to your computer. You understand and agree that by requesting such assistance, you will be providing an Accelerated Information Systems representative (“Accelerated Information Systems”, “we” or “us”) with access to and control of your computer as reasonably required to perform the requested work.
By requesting or using this Site or our Services, you: (a) agree to be bound by these terms and conditions (“Policy”); (b) are accepting and consenting to the collection, use, disclosure, and other handling of your information as described in our Privacy Policy; (c) accept full responsibility for any changes to the contents or system settings of your computer; and (d) agree that the support Services session may be cut short, delayed, rescheduled and/or terminated as a result of matters outside of our reasonable control.
If you are entering into the terms of this Policy on behalf of a company, organization or another legal entity (an “Entity”), you are agreeing to this Policy for that Entity and representing to Accelerated Information Systems that you have the authority to bind such Entity and its affiliates to this Policy, in which case the terms “you” or related terms herein shall refer to such Entity and its affiliates. If you do not have such authority, or if you do not agree with this Policy, you must not accept these terms and may not use the Site or Service.
The following additional terms and conditions apply to the support Services provided under this Policy:
Back up your software and data: It is your responsibility and you agree to back up all data, software, information and/or files (collectively, “data”) stored on your device(s) prior to commencement of the Services. Some repair processes or services involve the complete, irrevocable deletion or destruction of the storage device and any data thereon. Accelerated Information Systems will not back up any data on your computer or other product. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT WHETHER OR NOT YOU REQUEST ACCELERATED INFORMATION SYSTEMS TO BACK UP ANY DATA, IN NO EVENT SHALL ACCELERATED INFORMATION SYSTEMS BE LIABLE FOR ANY LOSS, ALTERATION, DISCLOSURE OR CORRUPTION OF ANY DATA, DEVICE OR STORAGE DEVICE.
Services and fees: You understand and agree that in some instances, Accelerated Information Systems may not be able to perform repairs or services due to the pre-existing conditions of your device, such as defects or failure in any software, data or computer hardware component. Accelerated Information Systems reserves the right to refrain from providing any or all of the service if the minimum system requirements are not met or the technical needs or other requirements are unusual or extensive and beyond the scope of the service as reasonably determined by Accelerated Information Systems.
Software and software licenses: In setting up or repairing your device during the Services, you agree that Accelerated Information Systems may install and/or uninstall a number of software programs to diagnose and resolve system issues. As part of the Services, you agree that Accelerated Information Systems may take actions that result in Accelerated Information Systems agreeing to license terms on your behalf as your agent. In some cases, Accelerated Information Systems may have already taken such actions before the start of the Services. In those cases, you ratify those actions and provide Accelerated Information Systems the authority as your agent to accept such software.
Other terms: You agree to defend, indemnify, save and hold harmless, Accelerated Information Systems and its officers, directors, agents, affiliates, and employees from any and all third party claims, demands, liabilities, costs or expenses, including reasonable attorney fees arising from or in any way relating to or arising out of any damage or loss of any nature whatsoever that results, directly or indirectly, from Accelerated Information Systems remotely connecting to your computer systems and/or recording the sessions as requested by you herein. You further agree not to record any portion of the remote assistance session, including but not limited to, captured screenshots occurring during such session.
Accelerated Information Systems’ liability in any event shall be limited to the total value charged for a Services session. Accelerated Information Systems does not warrant that the technical support will meet your needs or requirements, is fit for your purposes, or will be error free. The Services session is provided at your sole risk and we will not be liable to you for any loss, costs, expenses or damages incurred by you, including but not limited to any direct, indirect, incidental, consequential, or special damages. We accept no liability whatsoever for linking and/or viewing any desktop content therein, or for your computer system’s performance.
All matters relating to this Policy and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), will be governed by and construed in accordance with the laws of the state of New York without giving effect to conflicts of law principles. Any legal suit, action or proceeding arising out of, or related to, this Policy will be instituted exclusively in the federal courts of the United States or the courts of the County of Suffolk and state of New York. You waive any and all objections to the exercise of jurisdiction and venue over you by such courts.
